  8.       FOR VALUE RECEIVED, the undersigned hereby deposits and
  9. pledges with _ [Pledgee] as collateral security to secure the

  18.      It is understood and agreed:
  19.      1. Pledgee may assign or transfer said debt and the stock
  20.         collateral pledged hereunder.
  21.      2. In the event there shall be stock dividend or further
  22.         issue of stock in the Corporation to the undersigned,
  23.         the undersigned shall pledge said shares as additional
  24.         collateral for the debt.
  25.      3. That during the pendency of this pledge agreement, the
  26.         undersigned shall have full rights to vote said shares
  27.         and be entitled to all dividend income.
  28.      4. That during the pendency of this agreement, the
  29.         undersigned shall not issue any proxy or assignment of
  30.         rights to the pledged shares.
  31.      5. The undersigned warrants and represents it has good
  32.         title to the shares being pledged, they are free from
  33.         other liens and encumbrances, and the undersigned has
  34.         full authority to transfer said shares as collateral
  35.         security.
  36.      6. In the event of default of payment of the debt, or
  37.         breach of this pledge agreement, the Pledgee or holder
  38.         shall have full rights to foreclose on the pledged
  39.         shares and excercise its rights as a secured party
  40.         pursuant to Article 9 of the Uniform Commercial Code;
  41.         said rights being cumulative with any other rights the
  42.         Pledgee may have against the undersigned.
